I am an Arizona business and contracts lawyer who has been forming Arizona entities since 1980.  In 1992, I formed my first LLC on the first day Arizona’s LLC law became effective.  In 2002 I started keeping track of the number of LLCs I form each year.  As of August 8, 2011, the date I wrote this article, I have formed 4,000+ Arizona limited liability companies.

When I form an Arizona LLC, I do not use the Arizona Corporation Commission’s two page fill-in-the-blanks Articles of Organization because it is just barely adequate.  The ACC’s form contains the minimum necessary to form an Arizona LLC.  I want my clients to have more than the minimum so my Articles of Organization contain provisions that are not found in the ACC’s form.  My custom Articles of Organization also contains provisions that coordinate with corresponding provisions in my custom Operating Agreement.
