This is the document that transfers the outgoing member’s membership interest to whoever is acquiring the membership interest. If the company is member-managed, it must file an Amendment to its Articles of Organization with the Arizona Corporation Commission to add new members and/or remove former members. If the company is manager-managed, it must file an Amendment to its Articles of Organization if there is an addition or removal of any member who owned or will own 20% or more of the profits of the company. If the company is manager-managed and any manager is added or removed, the company needs to amend its Articles of Organization to reflect the change. Whenever there is a change in members or managers, the parties should sign an amended Operating Agreement to reflect the changes. You can purchase all of these documents using our questionnaire.
