KEYTLaw’s Gold LLC Formation Package is a $1,397 flat-fee plan. It includes everything in the Bronze and Silver packages plus a custom 25 page revocable living trust that owns your Arizona LLC. We form the LLC within 24 hours and prepare a custom Operating Agreement signed by DocuSign. We also get the EIN, serve as your statutory agent free for the first year, and mail you a tabbed three-ring binder of your LLC documents. The trust keeps your name and address off the Arizona Corporation Commission’s public records. It also lets your LLC and other assets pass to your heirs without an expensive, time-consuming public Superior Court probate. Gold clients who buy a complete estate plan within 120 days save $1,000.

Our Gold LLC

When most people form an LLC they think about one thing: protecting their personal assets from the debts and lawsuits of the business. That is important, and every LLC we form is built to do it. But there are two other questions almost nobody asks until it is too late:

  • Who can see my name and home address? Arizona LLC filings are public records anyone in the world can search online for free and see the owner of the LLC.
  • What happens to my LLC when I die? If your LLC is not owned by a trust, your LLC can get stuck in an expensive, slow, public Superior Court probate before your heirs can touch it.

Our Gold LLC Formation Package answers both questions on the day your LLC is born. Here is exactly what you get, why each item matters, and why many of our clients consider Gold the best value we offer.

What Is the Gold LLC Formation Package?

The Gold package is our most complete Arizona LLC formation plan. For a flat fee of $1,397 you get every service in our Bronze and Silver packages plus a custom revocable living trust that owns your LLC. That trust is the feature that sets Gold apart. The trust keeps your name and address off the public records of the Arizona Corporation Commission so your name and address will not be seen, and it lets your LLC and any other assets you put in the trust pass to your heirs automatically without an expensive, time-consuming public Superior Court probate if you die or if you and your spouse die if you are married.

You are not buying a filing service. You are hiring two Arizona LLC attorneys who have formed more than 10,000 Arizona LLCs to build the complete legal structure for your company.

Everything You Get With the Gold Package

1. Fast, Professional Formation

  • We file your Articles of Organization and form your LLC within 24 hours of being hired and paid.
  • We email you the approved Articles of Organization.
  • No newspaper publication is required.
  • You do not have to give the Arizona Corporation Commission two forms of ID.

2. A Custom, Attorney-Drafted Operating Agreement

Your members digitally sign a custom Operating Agreement, and we email the fully signed copy to every member. See the table of contents of our 27 page single member LLC Operating Agreement and our 65 page multi-member LLC Operating Agreement. Without a signed Operating Agreement your LLC runs on Arizona's default statutes, which can split profits and votes equally among members no matter who put in the money.

3. One Year of Statutory Agent Service

Every Arizona LLC must have a statutory agent with a physical Arizona street address. We serve as your LLC's statutory agent free for the first year, then $99 per year. Our statutory agent address is 24 W. Camelback Road, Suite 467, Phoenix, AZ 85013.

4. Your EIN, Done for You

We arrange for you to digitally sign IRS Form SS-4, which authorizes our legal assistant to get your LLC's Employer Identification Number (EIN). We then email the EIN to you. You need an EIN to open a bank account, hire employees and file tax returns.

5. Everything You Need to Open the Bank Account

  • We prepare resolutions authorizing the LLC to open a bank account and appointing the manager(s).
  • We give you instructions on how to open the LLC's bank account.
  • We prepare a membership certificate for each member, so you can prove who owns the LLC.

6. Education and Ongoing Support

  • Access to our 170 page Arizona LLC Operations Manual ebook, which answers the questions people ask after forming an LLC.
  • 49 LLC informational emails sent to you over three months.
  • A free LLC Legal Audit (83 questions, 32 tasks, 29 alerts).
  • We don't charge to answer your questions before and after we form your LLC.

7. A Tabbed Three-Ring Binder

We put all of your LLC documents behind tabs in a three-ring binder and mail it to you, so your company records are organized from day one.

8. The Gold Exclusive: Your Revocable Living Trust

  • We prepare a revocable living trust that you and your spouse if you are married are the trustee(s) and beneficiary of.
  • The trust keeps your name and address off the public records of the Arizona Corporation Commission so your name and address will not be seen.
  • The trust can own any of your assets, which pass at your death, or the death of the second spouse if you are married, to the heirs named in your trust agreement without an expensive probate.
  • You get a Certification of Trust you can give to banks and other third parties who ask for a copy of the trust, so you never have to hand over the whole trust agreement.
  • You get our 22 page article called Funding Your Trust, which explains how to transfer 13 different types of assets into the trust.

Benefit #1: Privacy — Keep Your Name and Address Off the Internet

The Articles of Organization of an Arizona LLC disclose the names and addresses of its members or managers, and the Arizona Corporation Commission puts that information online where anyone can find it in seconds. That includes plaintiffs' lawyers looking for someone to sue, unhappy tenants, former business partners, scammers and data brokers who sell your information.

With the Gold package, your revocable living trust owns the LLC. Your name and address stay off the Arizona Corporation Commission's public records, and you keep complete control of the company. For owners of rental property, this is often the single most valuable feature we offer.

Benefit #2: Your Family Avoids Probate

An LLC does not automatically pass to your family when you die. If you own your membership interest in your own name, it goes through an Arizona probate unless the value of your personal property is under $200,000, and your heirs may inherit only an economic interest with no right to vote or manage the company. Probate takes time, costs money and is a public court proceeding. Even our firm's flat fee to handle a simple uncontested informal Arizona probate is $5,000.

When your Gold trust owns the LLC, the successor trustee you choose simply takes over at your death and transfers the LLC to the heirs named in the trust agreement. No court. No probate. And because the trust can own any of your assets, you can also put your home, bank and brokerage accounts and other LLCs into it. Our Funding Your Trust article shows you how to transfer 13 different types of assets.

Benefit #3: Someone You Trust Can Step In If You Can't

A revocable living trust names a successor trustee who can manage the trust's assets if you become unable to. That means someone you chose, not a judge, can keep your LLC running and pay its bills if you are disabled.

Benefit #4: You Keep Complete Control

You and your spouse if you are married are the trustee(s) and the beneficiary of the trust. You run your LLC exactly as you would if you owned it personally, and because the trust is revocable you can change it or cancel it at any time. For federal income tax purposes a revocable trust is ignored while you are alive (see IRC § 676), so putting your LLC in the trust does not change how your LLC is taxed.

Benefit #5: Save $1,000 on a Complete Estate Plan

The Gold trust is a strong first step, but it is not a complete estate plan. When you are ready for the full plan, Gold clients who bought the package within the prior 120 days get a $1,000 discount on our custom estate plan with a revocable living trust. Our estate plan fees are $3,497 for one person and $4,497 for a married couple or life partners, and the plan includes 36 documents and services. See the contents of our estate plan and fees.
