Formation Services for Bronze & Silver LLC Packages

Unlimited free telephone calls with California LLC attorney and former CPA Richard C. Keyt who will answer all of your questions about forming and operating California LLCs.  Call Richard toll free at 844-552-6468 ext. 3.
We check the California Secretary of State’s entity database and give you an opinion that the name you pick for your LLC will be accepted by the California Secretary of State.  If there is a problem with the LLC’s name we will contact you for an alternate name .  Note:  There is no way to guaranty that the California Secretary of State will accept a proposed LLC name in advance of filing the Articles of Organization.
We hand deliver the Articles of Organization to the California Secretary of State. The LLC is born the date the California Secretary of State approves the Articles of Organization and it can start doing business as of that date.
We pay the $70 Articles of Organization filing fee and $15 special handling fee to the California Secretary of State.
When the California Secretary of State approves the Articles of Organization we will email the document to you with the California Secretary of State’s filed stamp on it.  With this document and the LLC’s federal employer ID number you can immediately open a bank account in the LLC’s name.
We prepare LLC attorney Richard Keyt’s Operating Agreement custom drafted for your LLC.  Since forming his first LLC in 1992 Richard Sr. has invested 150+ hours in researching and drafting a “state-of-the-art” Operating Agreement for CA and AZ LLCs that contains unique provisions Richard developed to prevent or solve actual LLC problems he has seen during his 36 years of practicing business law in Arizona and forming 5,000+ LLCs.  We have two different Operating Agreements: (i) the single member or husband and wife owned LLC Operating Agreement (35+ pages), and (ii) the multi-member LLC Operating Agreement (55+ pages).  California LLC attorney Richard C. Keyt and his father have studied California’s new Revised Uniform Limited Liability Company Act effective January 1, 2014, and modified their Operating Agreement to comply with California’s current LLC law.
We prepare a Disclaimer for each non-member spouse to sign when a married member will own his or her interest in the LLC as separate property. If a married spouse does not sign a disclaimer, California law provides that a married member who is a resident of California and who acquires an interest in an LLC owns the LLC as community property with the other spouse unless: (i) the interest was acquired as a gift or from inheritance, (ii) the non-member spouse disclaims ownership, or (iii) the non-owner spouse signs a Disclaimer.

For more on this important topic read “How Do I Acquire an Ownership Interest in an Arizona LLC as Separate Property?” which is written for Arizona residents, but the same concepts apply to California residents who are married or who have registered domestic partners.

We obtain the LLC’s federal employer ID number from the IRS after the a responsible person signs and sends an IRS Form SS-4 to us.  We email the EIN our contact person for the LLC.  You need the EIN to open the LLC’s bank account.
We prepare and file the Statement of Information with the California Secretary of State.  California LLC law requires the LLC to file this form within 90 days of forming the LLC or the LLC must pay a $250 fine.  See our article called “California LLC Statement of Information.”
Each member of the LLC receives a subscription to our email reminder and information system.  We send numerous emails over the next several years reminding the members to do things like sign the Operating Agreement, open a bank account in the name of the LLC, create a bookkeeping system, decide which of the four possible income tax methods is best, file the Statement of Information every two years and hold an annual meeting of members.  The email messages also explain legal aspects of owning and operating an LLC such as how to sign contracts in the LLC’s name, what happens to your membership interest if you die and why it is important to make sure the LLC and its owners don’t commingle their income and expenses.
We prepare organizational resolutions to be signed by all of the members in which the members approve the issuance of membership interests to the members, authorize the opening of the LLC’s bank account, approve reimbursing members who paid the LLC’s organizational expenses, authorize the company to file with the IRS any documents necessary to adopt the LLC’s method of income tax and adopt other resolutions related to forming the new LLC.
Shortly after we file the Articles of Organization with the California Secretary of State we will upload your LLC’s documents in Adobe pdf format to a secure folder within Citrix’ Sharefile state of the art secure online storage facility.

Additional Services for the Gold LLC Package

We will prepare a custom drafted revocable living trust to be the member of the LLC.  The trustmaker(s), trustee(s) and initial beneficiary or beneficiaries will be the single member or the married couple jointly.  This is a sophisticated trust that requires a lot of input from the trustmakers.  See the Trust Questionnaire that the trustmaker(s) must submit to us.
Within one business day of the day we file the Articles of Organization with the California Secretary of State we will prepare a document called a Certification of Trust.  This is a document you can give to third parties like banks, lenders and escrow companies that ask for a copy of the trust.  In lieu of giving them a copy of the trust agreement they will accept the Certification of Trust.

Hire a California Estate Planning Attorney to Prepare a Revocable Living Trust to Own the LLC & Avoid Probate.  If a resident of California dies and owns a membership interest in an LLC the general rule is that a California probate will be required to transfer the membership interest to the decedent’s heirs(s).  California probates can be very expensive (as much as 7% of the value of the assets that go through probate) and time consuming (more than a year).  A great way to avoid probate is to have a revocable living trust that owns the membership interest rather than the a person owning the membership interest.  When a trust owns the LLC if a person who is a beneficiary of the trust dies the interest of the decedent passes automatically to the heir(s) named in the trust agreement without the need for an expensive probate.
