Complete this Questionnaire to hire LLC attorney Richard Keyt who has a masters degree (LL.M.) in federal income tax from New York University School of Law and his son LLC attorney and former CPA Richard C. Keyt who has a masters degree in accounting from Notre Dame University to prepare a Tax Audit Agreement for an LLC taxed as a partnership or for a partnership.  This agreement is appropriate for LLCs and partnerships formed in any state.

Warning:  Do not submit this Questionnaire if your LLC is not taxed as a partnership.

Question: Who needs a Tax Audit Agreement?

Answer:  An LLC needs our a Tax Audit Agreement if it is a multi-member LLC taxed as a partnership and the LLC:

  • does not have an Operating Agreement, or
  • has an Operating Agreement that does not appoint a partnership representative. Note: If your Operating Agreement refers to a tax matters partner then the Operating Agreement is out of date because tax matters partners were replaced by partnership representatives by the new partnership tax audit rules effective January 1, 2018.

Question: Is your Tax Audit Agreement appropriate for an LLC formed in my state?

Answer:  Yes.  The sole purpose of our Tax Audit Agreement is to allow LLCs formed in all fifty U.S. states to comply with the new partnership tax audit rules created under the Bipartisan Budget Act of 2015 and the IRS regulations under the new partnership tax audit rules promulgated thereunder that are effective on January 1, 2018.
