{"id":3689,"date":"2011-08-08T07:52:00","date_gmt":"2011-08-08T14:52:00","guid":{"rendered":"http:\/\/www.keytlaw.com\/azllclaw\/?p=3689"},"modified":"2016-11-16T08:23:53","modified_gmt":"2016-11-16T15:23:53","slug":"arizona-llc-separate-property","status":"publish","type":"post","link":"https:\/\/www.keytlaw.com\/azllclaw\/2011\/08\/arizona-llc-separate-property\/","title":{"rendered":"How Do I Acquire an Ownership Interest in an Arizona LLC as Separate Property?"},"content":{"rendered":"<p style=\"text-align: justify;\"><strong>Question<\/strong>:\u00a0 My spouse and I are Arizona residents.\u00a0 I formed an Arizona LLC by filing Articles of Organization that state that I am the sole member.\u00a0 Even though I was married when I formed the LLC, my spouse is not listed in the\u00a0Articles of Organization as a member of my LLC.\u00a0 How do I prove that I am the sole owner of the LLC and that my spouse does not own one half of the LLC as community property?<\/p>\n<p style=\"text-align: justify;\"><strong>Answer<\/strong>:\u00a0 You must have your spouse sign a written document (I call it a Disclaimer of Membership Interest in an Arizona Limited Liability Company) in which the non-owner spouse acknowledges that the non-owner spouse does not have any ownership interest in the owner spouse&#8217;s membership interest in the LLC.<\/p>\n<p>Arizona Revised Statutes <a href=\"http:\/\/www.azleg.gov\/ars\/25\/00211.htm\" target=\"_blank\">Section 25-211.A<\/a> states:<\/p>\n<blockquote>\n<p style=\"text-align: justify;\">&#8220;<strong><span style=\"color: #ff0000;\">All property acquired by either husband or wife during the marriage is the community property of the husband and wife<\/span><\/strong> except for property that is:<\/p>\n<p style=\"padding-left: 30px;\">1. Acquired by gift, devise or descent.<\/p>\n<p style=\"padding-left: 30px;\">2.
