{"id":13270,"date":"2023-09-24T08:34:26","date_gmt":"2023-09-24T15:34:26","guid":{"rendered":"https:\/\/www.keytlaw.com\/azllclaw\/?p=13270"},"modified":"2023-09-24T09:03:52","modified_gmt":"2023-09-24T16:03:52","slug":"transferred-to-llc","status":"publish","type":"post","link":"https:\/\/www.keytlaw.com\/azllclaw\/2023\/09\/transferred-to-llc\/","title":{"rendered":"Loan Can&#8217;t be Called if Land Is Transferred to an LLC"},"content":{"rendered":"<div class=\"fusion-fullwidth fullwidth-box fusion-builder-row-1 fusion-flex-container has-pattern-background has-mask-background nonhundred-percent-fullwidth non-hundred-percent-height-scrolling\" style=\"--awb-border-radius-top-left:0px;--awb-border-radius-top-right:0px;--awb-border-radius-bottom-right:0px;--awb-border-radius-bottom-left:0px;--awb-flex-wrap:wrap;\" ><div class=\"fusion-builder-row fusion-row fusion-flex-align-items-flex-start fusion-flex-content-wrap\" style=\"max-width:1196px;margin-left: calc(-4% \/ 2 );margin-right: calc(-4% \/ 2 );\"><div class=\"fusion-layout-column fusion_builder_column fusion-builder-column-0 fusion_builder_column_1_1 1_1 fusion-flex-column\" style=\"--awb-bg-size:cover;--awb-width-large:100%;--awb-margin-top-large:0px;--awb-spacing-right-large:1.92%;--awb-margin-bottom-large:20px;--awb-spacing-left-large:1.92%;--awb-width-medium:100%;--awb-order-medium:0;--awb-spacing-right-medium:1.92%;--awb-spacing-left-medium:1.92%;--awb-width-small:100%;--awb-order-small:0;--awb-spacing-right-small:1.92%;--awb-spacing-left-small:1.92%;\"><div class=\"fusion-column-wrapper fusion-column-has-shadow fusion-flex-justify-content-flex-start fusion-content-layout-column\"><div class=\"fusion-text fusion-text-1\"><p style=\"text-align: justify;\"><strong>Question<\/strong>:\u00a0 Can my lender call my loan that encumbers my land if I transfer the land to an LLC I own?<\/p>\n<p style=\"text-align: justify;\"><strong>Answer<\/strong>:\u00a0 Probably not.\u00a0\u00a0The Federal National Mortgage Association, aka Fannie Mae, has something called\u00a0Servicing Freddie Mac Mortgages Series 8000.\u00a0 <a href=\"https:\/\/guide.freddiemac.com\/app\/guide\/section\/8406.4\" target=\"_blank\" rel=\"noopener\">Section 8406.4(b)<\/a> Additional permitted Transfers of Ownership Effective 10\/20\/2021 states:<\/p>\n<p>&#8220;Permitted Transfers of Ownership subject to conditions.\u00a0 In situations where all of the following conditions are met, Freddie Mac will permit a\u00a0Transfer of Ownership\u00a0of the\u00a0Mortgaged Premises:<\/p>\n<ul>\n<li>At least 12 months have passed since the Origination Date and<\/li>\n<li>The transfer is to a limited liability company (LLC) or limited partnership (LP), provided that:<\/li>\n<\/ul>\n<p style=\"padding-left: 80px; text-align: justify;\">The managing member\/general partner of the LLC\/LP is the original Borrower. If there are multiple Borrowers, all of them must be members\/partners of the LLC\/LP, and at least one of them must be a managing member\/general partner. If the transfer results in a permitted change of occupancy type to an investment property, such change must not violate the\u00a0Security Instrument\u00a0(e.g., the 12-month occupancy requirement for a\u00a0Primary Residence), and<\/p>\n<p style=\"padding-left: 80px;\">The Servicer notifies the original owner or natural person that the Mortgaged Premises transferred to an LLC\/LP must be transferred back to the original owner or natural person prior to any subsequent refinance or modification application to meet Freddie Mac\u2019s underwriting requirements<\/p>\n<p style=\"text-align: justify;\">Fannie Mae ruling <a href=\"https:\/\/tinyurl.com\/yusumzkd\" target=\"_blank\" rel=\"noopener\">D1-4.1-02: Allowable Exemptions Due to the Type of Transfer (04\/13\/2022)<\/a> says due on sale clauses cannot be enforced if the borrower transfers the encumbered land to a limited liability company.\u00a0 The rule states:<\/p>\n<p style=\"text-align: justify;\">&#8220;the servicer must process the following exempt transactions without reviewing or approving the terms of the transfer: . . .\u00a0A transfer of the property (or, if the borrower is an <em>inter vivos\u00a0<\/em>revocable trust, a transfer of a beneficial interest in the trust) to a limited liability company (LLC), provided that<\/p>\n<ul>\n<li>the mortgage loan was purchased or securitized by Fannie Mae on or after June 1, 2016, and<\/li>\n<li style=\"text-align: justify;\">the LLC is controlled by the original borrower or the original borrower owns a majority interest in the LLC, and if the transfer results in a permitted change of occupancy type to an investment property, such change does not violate the security instrument (for example, the 12 month occupancy requirement for a principal residence).&#8221;<\/li>\n<\/ul>\n<p>Bottom line is Fannie Mae approves transfers of encumbered land without the lender being able to enforce a due on sale clause.<\/p>\n<\/div><\/div><\/div><\/div><\/div>\n","protected":false},"excerpt":{"rendered":"","protected":false},"author":1,"featured_media":0,"comment_status":"open","ping_status":"open","sticky":false,"template":"","format":"standard","meta":{"om_disable_all_campaigns":false,"footnotes":""},"categories":[8,66,37,20],"tags":[],"class_list":["post-13270","post","type-post","status-publish","format-standard","hentry","category-faqs","category-miscellaneous","category-operating-llcs","category-real-estate"],"yoast_head":"<!-- This site is optimized with the Yoast SEO Premium plugin v27.7 (Yoast SEO v28.0) -
