A person may apply to the commission to furnish a certificate of good standing for a domestic or foreign limited liability company.<\/p>\n<p style=\"text-align: justify;\">B. A certificate of good standing shall set forth all of the following:<\/p>\n<p style=\"padding-left: 30px; text-align: justify;\">1. The domestic limited liability company&#8217;s name or the foreign limited liability company&#8217;s name used in this state.<\/p>\n<p style=\"padding-left: 30px; text-align: justify;\">2. That either:<\/p>\n<p style=\"padding-left: 60px; text-align: justify;\">(a) The domestic limited liability company is organized under the laws of this state and the date of its organization.<\/p>\n<p style=\"padding-left: 60px; text-align: justify;\">(b) The foreign limited liability company is authorized to transact business in this state.<\/p>\n<p style=\"padding-left: 30px; text-align: justify;\">3. The limited liability company is in good standing in this state according to the records of the commission.<\/p>\n<p style=\"text-align: justify;\">C. Subject to any qualification stated in the certificate, a certificate of good standing issued by the commission may be relied on as conclusive evidence of the matters stated in the certificate.<\/p>\n<p style=\"text-align: justify;\"><p style=\"text-align: justify;\"><strong>Note<\/strong>:\u00a0 This statute was repealed on September 1, 2020.<\/p><\/p>\n","protected":false},"excerpt":{"rendered":"<p>A.
