text-align: justify;\">1.\u00a0 Check the Arizona Corporation Commission&#8217;s website <a href=\"https:\/\/ecorp.azcc.gov\/EntitySearch\/Index\" target=\"_blank\" rel=\"noopener noreferrer\">name availability database<\/a> to confirm that the desired new LLC name is available.<\/p>\n<p><center><iframe src=\"https:\/\/www.youtube.com\/embed\/gJEGisOXPlY\" width=\"560\" height=\"315\" frameborder=\"0\" allowfullscreen=\"allowfullscreen\"><\/iframe><\/center><\/p>\n<p style=\"padding-left: 30px; text-align: justify;\">2.\u00a0 When checking a desired new LLC name, beware of the <a href=\"http:\/\/www.azcc.gov\/divisions\/corporations\/filings\/namingpolicy.asp\" target=\"_blank\" rel=\"noopener noreferrer\"> ACC&#8217;s rules for determining if a name is distinguishable<\/a> (click on the word &#8220;Name&#8221; to access the name search feature) from another name in the ACC&#8217;s database of existing Arizona entity names and trade names.\u00a0 If the new name is not &#8220;distinguishable,&#8221; the ACC will reject the Articles of Amendment to the Articles of Organization.<\/p>\n<p style=\"padding-left: 30px; text-align: justify;\">3.\u00a0 You may want to check the <a href=\"http:\/\/tess2.uspto.gov\/bin\/gate.exe?f=tess&amp;state=4008:atl3e9.1.1\" target=\"_blank\" rel=\"noopener noreferrer\">U.S. Patent and Trademark office database<\/a> and search to see if your proposed new name might infringe on a registered federal trademark or service mark.\u00a0 <strong>Caution<\/strong>:\u00a0 Don&#8217;t use Coke or Playboy in your name.<\/p>\n<p style=\"padding-left: 30px; text-align: justify;\">4.\u00a0 Prepare a document called &#8220;Articles of Amendment to the Articles of Organization&#8221; that states the LLC amends it Articles of Organization by changing the LLC&#8217;s name to the new name.<\/p>\n<p style=\"padding-left: 30px; text-align: justify;\">5.\u00a0 Determine if the LLC is managed by Members or Managers.\u00a0 Review the LLC&#8217;s Articles of Organization.\u00a0 The Articles of Organization of the LLC state that management is reserved to the members (member managed) or the managers (manager managed).\u00a0 If the LLC was formed in the last few years, you can find the Articles of Organization on the <a href=\"https:\/\/ecorp.azcc.gov\/EntitySearch\/Index\" target=\"_blank\" rel=\"noopener noreferrer\"> ACC&#8217;s website<\/a>.\u00a0 Look up the name of the LLC and click on the name and then click on the link to the AOO.\u00a0 If when you are on the LLC&#8217;s ACC information page there is no link to the AOO, then the LLC was formed before the ACC started putting the AOO in its website.<\/p>\n<p style=\"padding-left: 30px; text-align: justify;\">6.\u00a0 Arrange for the Articles of Amendment to the Articles of Organization to be signed by: (i) any member of the LLC if the LLC is member managed, or (ii)\u00a0 any manager of the LLC if the LLC is manager managed.<\/p>\n<p style=\"padding-left: 30px;\">7.\u00a0 Prepare an <a href=\"https:\/\/www.azcc.gov\/docs\/default-source\/corps-files\/forms\/coversheet.pdf?sfvrsn=5107f062_2\" target=\"_blank\" rel=\"noopener noreferrer\">ACC coversheet<\/a>.<\/p>\n<p style=\"padding-left: 30px; text-align: justify;\">8.\u00a0 File the signed Articles of Amendment to the Articles of Organization and the ACC cover sheet with the Arizona Corporation Commission at: 1300 West Washington, Phoenix, AZ 85007.<\/p>\n<p style=\"padding-left: 30px; text-align: justify;\">9.\u00a0 Pay the ACC filing fee of $25, but I recommend you pay an extra $35 for expedited review of the Articles of Amendment to the Articles of Organization.\u00a0 If you do not pay the $60 expedited filing fee, the time period for the ACC to review and approve or reject the amendment will be greatly increased.\u00a0 For more precise information about the ACC&#8217;s review times see <a href=\"http:\/\/azcc.gov\/docs\/default-source\/corps-files\/document-processing-times.pdf\" target=\"_blank\" rel=\"noopener noreferrer\">online processing times report<\/a>.<\/p>\n<p style=\"padding-left: 30px; text-align: justify;\">10.\u00a0 When you are notified that the ACC approved the amendment and if the LLC&#8217;s place of business is not in Maricopa County or Pima County, you must publish the amendment in a newspaper of general circulation in the county of the LLC&#8217;s known place of business in Arizona for three consecutive publications.<\/p>\n<p style=\"padding-left: 30px; text-align: justify;\"><strong>11.\u00a0 Important Note<\/strong>:\u00a0 For LLCs with a place of business outside Maricopa County and Pima County <span style=\"color: #ff0000;\"><strong>publication must be completed SIXTY days from the date the ACC processed and approved the Articles of Amendment to the Articles of Organization for filing<\/strong><\/span>.<\/p>\n<p style=\"padding-left: 30px;
