A registered foreign limited liability company or registered foreign series that has dissolved and completed winding up or otherwise has ceased to exist shall deliver a statement of withdrawal to the Commission for filing. The statement must state all of the following:<\/p>\n<p style=\"text-align: justify; padding-left: 30px;\">1. the name of the foreign company or foreign series.<\/p>\n<p style=\"text-align: justify; padding-left: 30px;\">2. the jurisdiction of formation of the foreign company or foreign series.<\/p>\n<p style=\"text-align: justify; padding-left: 30px;\">3. that the foreign company or foreign series surrenders its registration to do business in this state.<\/p>\n<p style=\"text-align: justify; padding-left: 30px;\">4. that the foreign company or foreign series has dissolved and completed winding up or otherwise has ceased to exist.<\/p>\n<p style=\"text-align: justify;\">B. After a withdrawal under this Section has become effective, service of process in any action or proceeding based on a cause of action arising during the time the foreign limited liability company was registered to do business in this state may be made pursuant to <a href=\"https:\/\/www.keytlaw.com\/azllclaw\/ars-section-29-3119\/\" target=\"_blank\" rel=\"noopener\">Section 29-3119<\/a>.<\/p>\n<p style=\"text-align: justify;\"><strong>Note<\/strong>:\u00a0 As of September 1, 2020, this statute applies to all Arizona LLCs .\u00a0 The text above shows the statute as of January 1, 2025.\u00a0 To see if the Arizona legislature modified this statute after January 1, 2025, go the the Arizona legislature's website for <a href=\"https:\/\/www.azleg.gov\/arsDetail\/?title=29\" target=\"_blank\" rel=\"noopener noreferrer\">Title 29, Chapter 7<\/a>.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>A.
