Note: To check if your desired corporation name is available to to the ACC’s online name checker to see if your desired name will be accepted or rejected. Here’s how to check a prospective corporation name.
1. Go the the Arizona Corporation’s name checker website.
2. In the middle row of data entry fields in the left field titled "Entity Name" enter the exact name you desire for your nonprofit corporation.
3. Click on the text in the orange box at the bottom in the center that says “Name Availability Check.”
The ACC’s database will then tell you if the desired name is available or not available.
Name Reservation Warning: Although the ACC’s database will ask if you want to reserve the name, I don’t recommend that you waste the $45 unless there is a lot of money riding on the name. Before purchasing a name reservation ask yourself this question: Given that the desired name has been available from the beginning of time up to the moment you checked the name, what are the chances somebody will use your desired name before you file your Articles of Organization?

Does the corporation intend to become a tax-exempt charitable organization? If you select Yes, we will prepare the seven policies the IRS wants tax-exempt organizations to have. The policies are a Conflicts of Interest Policy, a Whistle Blower Policy, a Document Retention & Destruction Policy, a Gift Acceptance Policy, a Travel & Expense Reimbursement Policy, a Compensation Policy and a Joint Venture Policy.
Give a brief statement of the character of affairs the corporation initially intends to conduct. Tell us what is the purpose of the corporation? This statement does not limit the corporation's charitable activities.
Members are optional. Most nonprofits do not have members. Check the Yes box if your corporation will have members. If you select this option we will work with the directors to determine criteria for membership and modify the Bylaws accordingly. If our time to modify the Bylaws for your membership criteria exceeds 1 hour will bill the company $245/hour for attorney time in excess of one hour.
Arizona law requires the nonprofit corporation have an address in Arizona. The address can be a home address or a business address, but it cannot be a U.S. Post Office box. If the corporation does not have an Arizona address or does not want the address to be on the public records of the Arizona Corporation Commission, select the No radio button to purchase our address service for $100/year.
Enter the name(s) below of each person who will be an officer or director of the corporation when the corporation is formed. The board of directors is responsible for running the company and electing the officers who report to the Directors. The corporation must have at least one director at the time it is created. Additional directors can be added after the corporation is formed.
Note: If the corporation intends to apply to the IRS for tax-exempt status it must have at least three directors who are unrelated, two of whom can be added after forming the corporation.
The officers are responsible for managing the day to day affairs of the corporation. The corporation must have a President. Optional officers are a Vice President, Secretary and Treasurer. A person can hold more than one officer position. We recommend that the corporation have a Secretary.
How many people will be officers and directors when the corporation is formed? One person can form an Arizona nonprofit corporation. Additional officers and directors can be added after the corporation is formed.
