Approval or Rejection of the Articles of Organization by the Arizona Corporation Commissionby Richard Keyt, Arizona business attorney Approximately two weeks (for expedited review) or four months (for normal review) after filing the Articles of Organization the Arizona Corporation Commission will notify you that the Articles of Organization were approved or rejected. Approval of Articles of OrganizationIf your articles of organization were approved, the Arizona LLC was created ("born") as of the date the articles of organization were filed with the ACC (or a later date set forth in the articles). The company may engage in any lawful business and enter into legally binding agreements beginning on the date its Articles of Organization are filed. Rejection of Articles of OrganizationAfter the Arizona Corporation Commission reviews the Articles of Organization of your new Arizona LLC, it will mail to the company's place of business a notice of approval or rejection of the Articles of Organization. If the articles of organization were rejected, your company was created as of the date the articles were filed, but it terminated twenty days after the ACC notifies the filer of the Articles of a defect and the Articles are not brought into conformance. If your Articles of Organization were rejected, the ACC will notify you in a letter why the Articles were rejected. You may then correct the problem, if possible, and resubmit the Articles of Organization. However, you will not be able to recover your filing fee if the ACC rejects your filing.
