Prepare Articles of Organization of an Arizona LLC

You must prepare your new company's articles of organization and have it signed by at least one person. The articles of organization must contain the following information:

bullet

The name of the Arizona LLC (the new company's name)

bullet

The address of the registered office of the Arizona LLC.  The company must have an office in Arizona that it designates as its registered office, which must be an actual physical location.  It cannot be a Post Office Box.  The registered office on file with the Arizona Corporation Commission is the address that will be used by the Arizona Corporation Commission if it has to communicate with the company.

bullet

The name and business, residence or mailing address of the agent for service of process for the Arizona LLC.  Every Arizona LLC must have a statutory agent on file with the Arizona Corporation Commission.  The statutory agent is the person or company authorized by the company that can accept legal documents such as lawsuits on behalf of the company.

bullet

The latest date, if any, on which the Arizona LLC must dissolve.  Unless there is some reason to designate a date on which your company automatically dies, I recommend you make the company's existence perpetual by omitting any reference in the Articles of Organization to a dissolution date.

bullet

One of the following statements:

Management of the limited liability company is vested in a manager or managers, or

Management of the limited liability company is reserved to the members

Recommendation:  Unless there is some special reason to make all members of your company managers, I recommend that you form a manager managed company.  The problem with member managed companies is that all members of a member managed company automatically have management powers such as the power to sign contracts on behalf of the company.  In a member managed LLC, if a member gives his 18 year old child a one percent interest in the company and the child becomes a member, the child will have management powers.

bulletThe name and business, residence or mailing address of either of the following:

If management of the Arizona LLC is vested in a manager or managers, each person who is a manager of the limited liability company and each member who owns a twenty per cent or greater interest in the capital or profits of the limited liability company, or

If management of the Arizona LLC is reserved to the members, each person who is a member of the limited liability company.

bulletThe statutory agent must sign a statement acknowledging acceptance of the duties of statutory agent.

Number of Copies to Print, Sign & File with the Arizona Corporation Commission

I recommend that you print four copies of your Articles of Organization and have the appropriate person sign all four copies.  You should then keep one copy for your records and file the other three signed copies (with original signatures) with the Arizona Corporation Commission.  At the time you file the Articles of Organization with the Arizona Corporation Commission, ask the ACC to stamp one copy of the Articles of Organization and give it back to you for your records.  You will need this ACC stamped copy of the Articles of Organization to open a bank account in the name of the company.
