It is relatively simple to fill out the Arizona Corporation Commission's three page fill in the blanks Articles of Incorporation and submit it to the ACC, but that's the easy part of incorporating.  Once the corporation is created, it must comply with the requirements of Arizona law or its charter could be revoked by the ACC or creditors could convince a court to "pierce the corporate veil" and hold the shareholders liable for the corporation's debts and obligations.

7.  If a meeting of shareholders or directors is called without the proper notice having been given, what information must be included in the waiver of notice to be signed by the shareholders or directors at the meeting?  What's a wavier of notice?

8.  Which officers must the corporation have?

9.  How are officers put into office?

10.  What are stock certificates, where do you get them, and when and how are they issued?

11.  How does the corporation sign contracts, i.e., what is the format for the corporation's signature block on contracts?

12.  What duties do directors and officers owe the corporation and its shareholders?

13.  What records do the Arizona statutes require the corporation to maintain?

14.  What rights do the Arizona statutes give to shareholders to inspect the corporation's records?

15.  What's an annual report, when is it due, who gets the annual report and what happens if the corporation does not file it?

16.  How does a corporation elect to be taxed as an S corporation and what is the deadline for adopting S corporation status?

  19. act as the corporation's statutory agent for its first year.
